Director Mergers and Acquisitions-FIN000000P8 Description Nokia's Merger and Acquisition team is currently seeking a dynamic, flexible, and consummate M&A professional to work with a high performing team who are focused on delivering Nokia's strategic growth initiatives. This position is ideally located in Espoo, Finland. The Director will network with the following internal constituencies: · Business group management, business leaders and technical experts. · Strategy and business development teams of the operating units. · External advisors: investment banks, strategy and integration consultants, lawyers, and accountants. · Corporate internal support functions: Accounting, taxation, treasury etc. · Acquisition candidates or other potential partners for our projects. The position is responsible for the following: · Support and advise business units in the early phases of transaction evaluation. · Manage transactions of various sizes together with business people from respective operating units as well as managing junior M&A resources. · Plan, resource, coordinate and negotiate M&A transactions together with key people from respective operating units. · Engage experts (internal and external) into the transactions as need occur. · Manage external advisors. · Review and oversee customary M&A analysis such as valuation modeling. · Plan and co-ordinate due diligence. · Work together with internal/external M&A counsel on a broad range of legal M&A issues. · Prepare decision-making material for various decision making bodies together with key individuals from respective business units. The ideal candidate will be a team player with a strong sense for operating in a collaborative environment. M&A deal execution skills must be outstanding, combined with a collegial personality. The ability to build strong trusting relationships across the organization, both domestically and internationally, is critical. He/She must be capable of being viewed as a strategic partner to the business units. A high level of personal maturity is required to know when to relinquish parts of the M&A process to the business units versus leading and driving the entire process. The key is being flexible and adaptable to fit the needs of the transactions and business units on a deal by deal basis. This person must be capable of building trust as an objective and neutral advisor. Qualifications The ideal candidate will have: · Proven experience in the field of M&A from corporate M&A and/or investment banking, 6 years relevant experience minimum. · Strategic thinking and "big picture" vision; not just a functional expert but also contributes a well-reasoned viewpoint on deals and issues, always with the shareholder in mind · Significant deal & negotiation experience from cross-border transactions. · Experience in leading global project teams of highly professional and ambitious individuals. · Experience working in an international environment. · Strong corporate finance theory (MSC, MBA or equivalent) and ability to translate that to practice. · Understanding M&A processes. · Analytical understanding of complex business models, valuation and deal structuring. · Good understanding of corporate business environment. · Excellent interpersonal/networking/influencing skills. · Negotiation and presentation skills. · Strong drive and initiative; persistence to not ignore even uncomfortable issues. · Risk identification, management and mitigation skills. · Demonstrated ability to show good judgment and get things done, even under pressure or stress. · Good understanding of key legal related to M&A. · Strong team interacting skills.
