when I do a apt-get upgrade it is reporting me like 164 packages to update, most of them is system updates. I don't see any updates in app. manager. is this PR1.2 update?

When asked Nokia's CEO said that the update will be distributed to each N900 user. The update is so big that downloading it would overload their server. A free blu ray disc will be sent to each N900 user. The update will be 25GB, leaving only 2 GB of working space. That sucks..
Anyway to get the update you must register your address with a photo of you holding your N900 as proof at:

The next update titled PR1.4 will be 40GB. So buying a 16GB mem card is mandatory. Nokia hates the number 3 so they skipped it.
