Legally, the Council can not sign hosting contracts, nor can it do anything really, not being a legal entity. That's the entire point of creating this entity...

Maybe, but what if the next candidate is not available, or there is no next candidate?

if a majority of Board agrees.
Another issue is that with a seat already vacant we have an even-numbered board so it's very easy for the board to not have a majority opinion. And with the first board being a 3-member one that's even more likely.

I think it's a complex issue with many different cases to consider, and at some point there has to be a fallback of "new election for the vacant position(s)".

...it seems, that Council is not going to ask for Community approval of bylaws (via referendum). It's getting more and more interesting, to say at least. Well, for sure, it means that one should keep increased caution about Council's will to fix "backdoor" things, (like unelected directors, mentioned by lma), as there is no chance to fix - or deny - it later.

Yes, or what if the next candidate got such a low number of votes that they are clearly disfavored by the community but are next in number of votes because few candidates ran.

With a one year term, we can say there will be an election if more than x months remain in the term. Then what should X be? 6, 9 or 3?

6 seems reasonable. Another consideration might be the number of remaining board members and whether they are enough to fulfil all the officer positions.

Or maybe let officer positions be filled by people other than board members??
